1. About these terms

These Terms of Service (“Terms”) apply to your use of seatedx.com and the SeatedX appointment service. They form an agreement between you and [Legal entity name] d/b/a SeatedX (“SeatedX”, “we”, “us”). If you buy appointments, you will also sign a service agreement (the “Service Agreement”). If the Service Agreement conflicts with these Terms, the Service Agreement wins, including on billing, credits and dispute terms.

Please read sections 4 to 9 (how appointments are billed) and section 18 (arbitration) carefully.

2. What SeatedX provides

SeatedX is a marketing and appointment-setting service. We attract retirement savers through video ads and education, have a SeatedX setter call and qualify every lead (recording the call on video), and book appointments onto the calendars of licensed agents and advisors using our own booking, reminder and tracking software.

SeatedX is not an insurance carrier, insurance agency, broker-dealer or investment adviser. We do not recommend or sell any product, and nothing we provide is insurance, investment, tax or legal advice.

3. Who can use SeatedX

To buy appointments you must:

  • be at least 18;
  • hold the licences and carrier appointments needed for the products you discuss, in every state where you take appointments;
  • be able to take appointments every week.

We confirm fit, production, capacity, states and availability during onboarding. We may decline or end any account at our discretion. [Confirm minimum production requirement, if any]

4. Seated appointments

You pay only for seated appointments. An appointment is seated, and therefore billable, when both of these are true:

  • The prospect attends. They join the scheduled phone or video appointment and stay on it for at least [2 minutes — pending approval].
  • The prospect meets the criteria. By default that means $250,000+ in investable or rollover assets; aged 55–75; retired or within about 5 years of retirement; considering action within about 6 months; with genuine intent. Any extra filters agreed in your Service Agreement also apply.

The following are not billable: prospects under the asset floor, pension-only or research-only prospects, invalid information, and prospects outside your agreed criteria.

Qualification answers come from the prospect and are confirmed on a recorded call with a SeatedX setter. You receive the video recording of that setter call for every appointment booked for you. You may use it only to prepare for and serve that prospect, subject to section 11 (Prospect data). They are not independently verified financial records, underwriting approval or a suitability determination. Assets fall into three tiers: CORE ($250K–$499K), PLUS ($500K–$999K) and PREMIER ($1M+).

5. Exclusivity

Each appointment is assigned to one client only. We do not share it with, resell it to or send it to any other agent or advisor. Prospect details are released to you only for that appointment.

6. No-shows and cancellations

  • Prospect no-show. If the prospect does not attend, the appointment is not seated and you are not charged. The prospect is returned to our team to re-book where possible.
  • Your availability. We only book into time slots you make available. If you can’t make a booked appointment, tell us as early as possible so we can reassign or reschedule it. [Agent no-show and late-cancellation terms to be confirmed]

7. Replacements

When an appointment is not billable because the prospect didn’t show or didn’t meet the criteria, you are not charged for it. Our operations team will work to provide a replacement appointment, on the terms set out in your Service Agreement. [Replacement limits and timing to be confirmed in the Service Agreement]

8. Disputes about appointments

  • If you think an appointment was billed wrongly, tell us within [dispute window to be confirmed] of the appointment time. Include the appointment ID and the reason.
  • Our quality team reviews the evidence, including attendance, time on the call, qualification answers and any recordings or notes. While the review is open, we may put the charge on hold.
  • We will tell you the outcome in writing. If we agree the appointment was not billable, we will remove the charge or provide a replacement. Credits and refunds are issued only with written approval from SeatedX management.
  • Our records of appointment outcomes are the main evidence, unless they are shown to be wrong.

9. Price, payment and refunds

  • Price. Each seated appointment costs a flat $1,000 (USD). The price is the same for every asset level (CORE, PLUS and PREMIER). Appointments that are not seated cost nothing.
  • Billing. Payment method and timing are set out in your Service Agreement. [Confirm billing method, e.g. prepaid balance, card or invoice] Any appointment volumes we discuss are estimates, not guarantees.
  • Refunds and credits are governed by your Service Agreement. Where no Service Agreement covers a purchase, payments for appointments already seated are non-refundable, except where the law requires otherwise.
  • Please raise any billing concern with us before contacting your bank. If you start a chargeback without first using the dispute process in section 8, we may pause your account.

10. Your responsibilities

You agree to:

  • keep your licences, carrier appointments and errors-and-omissions cover current;
  • meet all suitability, best-interest, replacement and disclosure rules that apply to your recommendations;
  • treat prospects honestly and professionally;
  • give us accurate information about your availability and the states you serve;
  • not misrepresent your relationship with SeatedX;
  • not interfere with our call recording or quality review;
  • not try to get prospects to bypass SeatedX’s billing.

11. Prospect data

You become responsible for the prospect information you receive, and you must handle it lawfully. You agree to:

  • use it only to serve that prospect’s enquiry and for follow-up the law permits;
  • not sell, share or add it to unrelated marketing lists;
  • keep it secure, and tell us promptly if it is lost or exposed;
  • delete it when you no longer need it, unless the law or your carrier requires you to keep it.

12. Communications and consent

  • Prospects we book have opted in to be contacted about a retirement-income review.
  • On any follow-up call, text or email, you must comply with the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, federal and state Do-Not-Call rules, state calling-time and recording-consent laws, and any opt-out the prospect gives you.
  • By using SeatedX, you agree that we may contact you by phone, text and email, including by automated technology, about your account, appointments and billing. Message and data rates may apply. You can opt out of marketing texts by replying STOP; service messages continue while your account is active.

13. No guarantee of results

We qualify and seat appointments. What happens in the conversation is up to you, and results vary. We do not promise or project any number of appointments, sales, premium, commission or income. Any examples, figures or testimonials are illustrative and may not be typical.

14. Intellectual property

The SeatedX name, logo, website, content, scripts, software and materials belong to us or our licensors. We give you a limited, revocable, non-transferable right to use the service for your own business. You may not copy, resell or reverse-engineer any part of it.

15. Disclaimers and liability

Apart from the commitments in these Terms and your Service Agreement, the service is provided “as is” and “as available”. To the fullest extent the law allows:

  • we are not liable for indirect, incidental, special, consequential or lost-profit damages;
  • our total liability for any claim is limited to the amount you paid us in the [3] months before the claim.

16. Indemnity

You agree to defend and indemnify SeatedX against claims that arise from:

  • your dealings with prospects;
  • the products you recommend or sell;
  • your breach of these Terms;
  • your breach of any law, including insurance, securities, privacy and telemarketing laws.

17. Suspension and termination

Either of us may end the relationship as set out in your Service Agreement. We may suspend or end access straight away if you breach these Terms, misuse prospect data, behave abusively towards prospects or put our compliance at risk. Sections that by their nature should continue (for example prospect data, liability, indemnity and arbitration) survive termination.

18. Governing law and arbitration

  • These Terms are governed by the laws of the State of [State].
  • Before starting any formal claim, contact us at hello@seatedx.com and try to resolve the issue informally for 30 days.
  • If it isn’t resolved, any dispute will be settled by binding individual arbitration under the rules of [arbitration body], held in [county, state]. Small-claims matters and requests for injunctive relief are excluded.
  • You and SeatedX each waive the right to a jury trial and to bring or join a class action.

19. General

  • These Terms, your Service Agreement and our Privacy policy are the whole agreement between us.
  • If any part of these Terms is found unenforceable, the rest stays in effect.
  • Not enforcing a right is not a waiver of that right.
  • You may not assign these Terms without our consent.
  • Neither of us is responsible for delays caused by events beyond reasonable control.
  • We may update these Terms; continuing to use the service after an update means you accept it. Changes to your pricing or billing terms will be made in writing.

Prospect assets, age and retirement timeline are reported by the prospect and confirmed in conversation with our team; they are not independently verified financial records, underwriting approval or a suitability determination. Agents and advisors remain solely responsible for their own licensing, carrier appointments, suitability and best-interest obligations, and for every recommendation they make.

Results vary. Nothing on this site is a promise or projection of appointments, sales, premium, commission or income. Your results depend on your market, experience, availability and follow-up. Any examples shown are illustrative only.

Communications consent. If you book a call or send us your details, you agree that SeatedX may contact you about your enquiry by phone, text message and email, including by automated technology, at the number and address you provide. Consent is not a condition of buying anything. Message frequency varies; message and data rates may apply. Reply STOP to opt out of texts or HELP for help. Prospects we book have opted in to be contacted about a retirement-income review, and agents must honour consent, Do-Not-Call and opt-out requests on every follow-up.
